General terms and conditions of sale for InShadow products.

1. Purpose and scope
These General Terms and Conditions of Sale ("Terms") govern every order placed with InShadow, an individual undertaking under the micro-entrepreneur regime (the "Provider"), by any consumer or professional client (the "Client"). Placing an order implies the Client’s full and unreserved acceptance of these Terms. The French version of these Terms prevails in case of any discrepancy between the language versions.
2. Products
InShadow offers music-production products, namely: full track production from scratch ("Full Production"), finishing of an existing draft ("Finish My Track"), one-on-one coaching and track reviews ("InShadow Academy"), and à-la-carte studio products (songwriting, arrangement, mix, master, revisions, creative direction, promotion, stems, distribution strategy, vocals, and related add-ons).
Each product is largely custom and produced to the Client’s specifications and references. The essential characteristics, deliverables, number of revisions and timeline of each product are described on the Site and confirmed in the order summary and/or in a prior quote.
3. Prices
Prices are displayed on the Site in euros (EUR). Pursuant to art. 293 B of the French General Tax Code, InShadow benefits from the VAT franchise: prices are net of tax ("TVA non applicable, art. 293 B du CGI") and no VAT is added.
Indicative current prices range from €30 (Academy track review) to €1,199 (Full Production — Pro), with à-la-carte items priced individually. "Custom Vocals" is quote-only: its price is agreed in writing before the order. The applicable price is the one displayed at the time of the order.
4. Orders and payment
Orders are placed online through the Site’s checkout. Payment is processed by Stripe Payments Europe, Ltd., our payment service provider; InShadow does not store card details. The order is firm once payment is confirmed.
Payment is due in full at the time of order, unless a staged-payment schedule has been expressly agreed in writing for higher-value productions.
5. Delivery and timeline
Deliverables are provided in digital form (audio files and, where applicable, stems) by electronic means to the email address given by the Client. Indicative turnaround is 48 hours to 15 business days depending on the product, and starts once the Client has supplied the materials and brief required to begin work.
Timelines are estimates and may vary with the scope and the Client’s responsiveness during revisions. The Provider keeps the Client informed of any material change.
6. Right of withdrawal
A consumer Client ordering at a distance normally has fourteen (14) days to withdraw, without giving a reason, under art. L221-18 of the French Consumer Code.
Because InShadow products are custom-made to the Client’s specifications and the Provider begins work immediately, the right of withdrawal does NOT apply once performance has begun, on two independent grounds of art. L221-28 of the French Consumer Code: (3°) the supply of goods made to the consumer’s specifications or clearly personalised; and (13°) the supply of digital content not provided on a tangible medium, where performance began with the Client’s prior express consent and the Client’s express acknowledgment that the right of withdrawal is thereby lost.
At checkout, the Client therefore expressly consents to the immediate start of performance and expressly acknowledges that the right of withdrawal is lost once performance has begun. Until performance begins, a consumer may still exercise the 14-day right of withdrawal by clear statement to hello@inshadow.xyz.
7. Legal guarantees
The Client benefits from the legal guarantee of conformity (art. L217-3 et seq. of the Consumer Code) and from the guarantee against hidden defects (art. 1641 et seq. of the Civil Code). These guarantees apply independently of any commercial guarantee. To make a claim, the Client contacts hello@inshadow.xyz.
8. Intellectual property and licence
Upon full payment, InShadow transfers to the Client one hundred percent (100%) of the rights to the delivered production (master and, unless otherwise agreed in writing, the related composition/publishing rights). As a ghost-production studio, InShadow claims no authorship and takes no public credit for delivered tracks, and undertakes a duty of confidentiality. Any different scope (e.g. shared credits or a licence rather than a full transfer) applies only where expressly agreed in writing in the order or quote.
9. Liability
The Provider is bound by an obligation of means and is liable only for direct and foreseeable damage attributable to it. The Provider is not liable for the Client’s commercial results, streaming performance, or third-party (label, platform, distributor) decisions.
10. Applicable law and jurisdiction
These Terms are governed by French law. Failing an amicable settlement, French courts have jurisdiction, subject to the consumer’s right to bring proceedings before the court of their place of residence.
